Application Terms of Use

1. Purpose of the Terms of Use
These Terms of Use are intended to define the terms and conditions under which the Henny Members application (hereinafter the “Application”) is made available to users, as well as the rights and obligations of the various parties in this context.
Henny Members is a mobile application developed and published by HNY SAS, which offers a gamified loyalty and engagement program. Users can complete digital and physical missions, level up, accumulate an internal virtual currency called Hennies, and participate in raffles to win exclusive physical rewards (streetwear products, experiences, premium items).
Use of the Application implies full, complete, and unconditional acceptance of these ToU by the user. Any access to and use of the Application constitutes the user’s express and irrevocable agreement to these terms.
2. Publisher of the Application
The Henny Members application is published by HNY SAS, a simplified joint-stock company with a share capital of €42,300, whose registered office is located at 10 B allée de la Veisseire, 38640 Claix, registered with the Grenoble Trade and Companies Register under number 944 957 893.

3. Access and Use of the Application
3.1 Target Audience
The Henny Members application is strictly reserved for adults (aged 18 or older at the time of registration). Registration and use of the Application by a minor are prohibited.
3.2 Technical Requirements
Access to the Application requires:

a compatible smartphone,
-
a stable internet connection,
-
downloading and installing the Application from official platforms (App Store or Google Play).
All costs related to accessing the Application (internet subscription, mobile plan, equipment) are the sole responsibility of the user.
3.3 Creation and Management of the User Account
To access the Application’s features, the user must create a personal account by providing accurate, complete, and up-to-date information.
The user agrees to:
-
create only one account,
-
keep their login credentials confidential,
-
immediately report any unauthorized use of their account.
HNY SAS reserves the right to suspend or delete any account in case of non-compliance with these ToU, or in case of fraudulent or abusive use.
3.4 Availability of the Application
HNY SAS uses all reasonable means to ensure continuous access to the Application. However, access may be temporarily interrupted for maintenance, updates, or in the event of force majeure. HNY SAS shall not be held liable for any interruptions or malfunctions.
4. Missions and User Participation
The Henny Members application offers various missions allowing users to progress, accumulate Hennies, and access different benefits. These missions may be carried out either directly within the Application (“Digital Missions”) or in the real world (“Physical Missions”).
4.1 Digital Missions
Digital Missions take place entirely within the Application or through partner digital channels. They may consist, for example, of:

interacting with content,
-
taking part in quizzes or challenges,
-
completing community actions.
Digital Missions are available to any user with a valid account.
4.2 Physical Missions
Some missions require real-world participation, such as attending an event, visiting a partner location, or completing an outdoor challenge.
Participation in Physical Missions is undertaken under the full and sole responsibility of the user, who agrees to:

be physically fit,
-
comply with applicable laws and regulations,
-
ensure their own safety and that of others,
-
respect public and private property as well as third-party rights.
4.3 Liability
HNY SAS shall not be held liable for:
-
any accident, injury, or bodily or material damage occurring during a Physical Mission,
-
any misuse or fraudulent use of the Missions,
-
any consequence arising from the user’s failure to comply with these ToU.
The user acknowledges that they participate in the Missions voluntarily and expressly releases HNY SAS from any liability in the event of an incident.
4.4 Sanctions in Case of Non-Compliance
Any fraudulent, abusive, or unsafe behavior may result in the temporary suspension or permanent deletion of the user’s account, without prejudice to possible legal action.
5. Virtual Currency
5.1 Definition
The Application uses an internal virtual currency called Hennies (hereinafter “Hennies”), which may also be abbreviated as “HN$.” Hennies are virtual points earned by completing digital or physical missions, or through special operations organized by HNY SAS.
5.2 Legal Nature
Hennies have no real monetary value.
They do not constitute electronic money or a means of payment within the meaning of the Monetary and Financial Code.
Consequently:
-
they cannot be sold, exchanged, or transferred between users,
-
they cannot give rise to any refund, in whole or in part, for money, goods, or services outside the Application.
5.3 Use
Hennies may only be used to:
-
progress within the Application,
-
unlock specific benefits,
-
participate in raffles or other reward mechanisms set up by HNY SAS.
The terms of use of Hennies may vary depending on events and special operations organized within the Application.
5.4 Validity Period
HNY SAS reserves the right to set a validity period for Hennies and to automatically expire any unused Hennies after a specified period, which will be communicated to the user in advance.
5.5 Suspension and Withdrawal
In the event of fraud, misuse, or non-compliance with these ToU, HNY SAS reserves the right to suspend or delete all or part of the Hennies accumulated by a user, without compensation or indemnity.
6. Raffles, Draws, and Rewards
6.1 Principle
The Application allows users to participate in raffles (hereinafter the “Raffles”) organized by HNY SAS.
Participation in a Raffle may require the use of Hennies (HN$) or specific tickets, depending on the terms defined for each operation.
6.2 Prizes Offered
The rewards granted as part of the Raffles consist exclusively of in-kind prizes, which may include:
-
Henny products or co-branded items,
-
exclusive or limited-edition articles,
-
experiences or VIP access to cultural, sporting, or artistic events,
-
premium items.
No cash prizes are offered through the Application.
6.3 Participation Terms
The specific conditions of participation (number of tickets required, duration of the Raffle, drawing procedure, date of result announcement) are specified within the Application for each operation.
Participation in Raffles implies full and unconditional acceptance of these specific conditions.
6.4 Prize Allocation
Winners are selected by random draw, carried out through a fair and verifiable process.
Winners will be notified via the Application or by any other means of communication indicated in the specific conditions.
Prizes are awarded solely to the designated winner and may not be transferred, exchanged for cash, or substituted for any other goods or services.
6.5 Prize Availability
In the event that a prize initially announced becomes unavailable, HNY SAS reserves the right to offer a prize of equal or greater value, without the user being entitled to demand any other form of compensation.
6.6 Liability
HNY SAS shall not be held liable for:
-
the loss, theft, or deterioration of a prize after it has been handed over to the winner,
-
delays or issues related to the delivery of prizes by third-party providers,
-
any consequences resulting from the use or enjoyment of a prize.
7. User Commitments
By using the Henny Members Application, the user agrees to comply with the following rules:
7.1 Accuracy of Information
-
Provide accurate, complete, and up-to-date information upon registration and while using the Application.
-
Promptly update any information that becomes outdated or inaccurate.
7.2 Fair and Proper Use
-
Use the Application in accordance with its intended purpose and in compliance with these ToU.

Not create multiple accounts for the same person.
-
Not use automated methods, scripts, bots, or other fraudulent means to complete missions, accumulate Hennies (HN$), or participate in Raffles.

Not circumvent or attempt to circumvent the Application’s rules or manipulate the reward mechanisms.
7.3 Compliance with Laws and Third Parties

Not use the Application for unlawful, illegal, or immoral purposes.

Respect the rights of other users, HNY SAS, and any third party (including copyright, image rights, privacy, intellectual property, etc.).
-
Refrain from any insulting, defamatory, violent, discriminatory, or otherwise disrespectful or discourteous behavior.
7.4 Security and Confidentiality

Keep login credentials confidential and personal.
-
Immediately report to HNY SAS any unauthorized use of their account or any security incident they become aware of.
7.5 User Responsibility
The user is solely responsible for:
-
their use of the Application,
-
the content they publish or share as part of Digital Missions,
-
their conduct and safety during Physical Missions.
In the event of non-compliance with these commitments, HNY SAS reserves the right to suspend or delete the user’s account, as well as to cancel all or part of the Hennies or Raffle entries obtained fraudulently.
8. Liability and Warranties
8.1 Liability of HNY SAS
HNY SAS makes every effort to ensure reliable and continuous access to the Henny Members Application and its features. However, the user acknowledges that:
-
the Application is provided “as is”, without any guarantee of permanent availability,
-
access may be temporarily interrupted for maintenance, updates, or in cases of force majeure,
-
HNY SAS does not guarantee the complete absence of errors, bugs, security vulnerabilities, or anomalies in the Application.
HNY SAS shall not be held liable for:
-
any direct or indirect damage related to the use of, or inability to use, the Application,
-
any loss of data, loss of profits, damage to reputation, or commercial prejudice,
-
any misuse of the Application by a user,
-
any material, physical, or intangible damage occurring during participation in a Physical Mission.
8.2 User Liability
The user is solely responsible for their use of the Application and their behavior during digital and physical missions.
It is their responsibility to take all necessary measures to protect their data and equipment (smartphone, internet connection, etc.) against any risks (viruses, hacking, data loss).
8.3 User Warranties
By using the Application, the user warrants that:

they comply with these ToU,
-
they do not misuse the Application for fraudulent, commercial, or illegal purposes,
-
they release HNY SAS from any liability in the event of a claim, action, or proceeding initiated by a third party as a result of their use of the Application.
8.4 Limitation
To the fullest extent permitted by law, the liability of HNY SAS, if engaged, shall be limited to an amount not exceeding the value of the prizes or benefits actually obtained by the user within the Application over the twelve (12) preceding months.
9. Modification of the Terms of Use
HNY SAS reserves the right to modify these Terms of Use at any time in order to adapt them to changes in the Application, legislative or regulatory updates, or any other necessity.
In the event of a modification, the new version of the ToU will be published within the Application and will indicate its update date.
The user will be informed by any means deemed appropriate (in-app notification, email, information message).
Continued use of the Application after the new ToU have been made available constitutes full and unconditional acceptance of them.
If the user does not accept the new terms, they must stop using the Application and may request the deletion of their account.
10. Termination and Suspension of Account
10.1 Termination by the User
The user may at any time decide to stop using the Henny Members Application by deleting their account through the Application settings or by sending a request to HNY SAS at the following address: [email protected]
Deleting the account results in the permanent loss of all associated data, including accumulated Hennies (HN$), ongoing Raffle entries, and unlocked benefits. No refund or compensation can be claimed.
10.2 Suspension or Deletion by HNY SAS
HNY SAS reserves the right to temporarily suspend or permanently delete a user’s account, without notice or compensation, in the event of:
-
non-compliance with these ToU,
-
fraud, attempted fraud, or misuse of the Application,
-
behavior that harms the image, rights, or interests of HNY SAS, its partners, or other users,
-
unlawful activity or conduct contrary to applicable laws and regulations.
10.3 Consequences of Termination
In the event of termination, for any reason:
-
the user permanently loses access to their account and all associated data,
-
accumulated Hennies (HN$), Raffle entries, and ongoing benefits are immediately canceled,
-
no refund, compensation, or indemnity can be claimed.
11. Governing Law and Jurisdiction
These Terms of Use are governed by French law.
In the event of a dispute relating to the validity, interpretation, performance, or termination of these ToU, and failing an amicable resolution between the parties, express jurisdiction is granted to the competent courts within the jurisdiction of the Grenoble Court of Appeal, unless otherwise required by mandatory procedural rules.
